Item 5.07. Submission of Matters to a Vote of Security Holders.
At the annual meeting of the stockholders of ZoomInfo Technologies Inc. (“ZoomInfo”) held on April 27, 2021 (the “Annual Meeting”), the matters voted upon and the final voting results were as stated below. Holders of the shares of ZoomInfo’s Class A common stock were entitled to one vote per share held as of the close of business on March 5, 2021 (the “Record Date”) and holders of the shares of ZoomInfo’s Class B common stock and Class C common stock were each entitled to ten votes per share held as of the Record Date. Holders of the shares of Class A common stock, holders of the shares of Class B common stock and holders of the shares of Class C common stock voted together as a single class on all matters (including the election of directors) submitted to a vote of stockholders at the Annual Meeting. The proposals related to each matter are described in detail in ZoomInfo’s definitive proxy statement for the Annual Meeting, which was filed with the Securities and Exchange Commission on March 16, 2021.

The following nominees were elected to serve as Class I directors for three-year terms expiring at the 2024 annual meeting of stockholders or until their respective successors have been duly elected and qualified, with the vote totals as set forth in the table below:
