Item 7.01 Regulation FD Disclosure.
Substantially concurrently with the consummation of the Offering described below, ZoomInfo Technologies Inc. (the “Company”) expects to enter into an amendment to the first lien credit agreement to provide for, among other things, (i) an increase in the aggregate commitments to $250 million under the revolving credit facility, (ii) a repricing of the first lien term loan facility and revolving credit facility and (iii) an extension of the maturity date of the revolving commitments (the "Credit Agreement Amendments").

Item 8.01          Other Events.

On January 25, 2021, Company issued a press release announcing that its indirect subsidiaries ZoomInfo Technologies LLC and ZoomInfo Finance Corp. intend to offer $300 million (the “Offering”) in aggregate principal amount of senior notes due 2029, subject to market and other conditions. The full text of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

ZoomInfo Announces Offering of $300 million of Senior Notes due 2029


VANCOUVER, WASHINGTON, January 25, 2021 — ZoomInfo Technologies Inc. (“ZoomInfo”) today announced that its indirect subsidiaries ZoomInfo Technologies LLC and ZoomInfo Finance Corp. (the “Issuers,” and, together with ZoomInfo, the “Company”) intend to offer $300.0 million aggregate principal amount of Senior Notes due 2029 (the “Notes”). The Company intends to use the proceeds from the offering, together with cash on hand, to repay a portion of outstanding borrowings under its first lien term loan facility and to pay fees and expenses incurred in connection with the offering. The offering is subject to market and other conditions.

The Notes to be offered have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Notes will be offered, by the initial purchasers, only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act and non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Securities Act.
